Greetings and welcome to https://www.guardiansamazonia.org, a web-hosted interface (referred to as the "Interface" or "App") provided by GOA ("we, " "our, " or "us").
This Interface grants access to a decentralized protocol across various public blockchains, such as Ethereum or Binance Smart Chain, allowing users to engage in trading specific compatible digital assets (referred to as "the GOA protocol" or the "Protocol"). While the Interface serves as one of the means of accessing the Protocol, it is not the sole exclusive method. To utilize the Interface, a non-custodial wallet software is required, enabling interaction with public blockchains.
Your association with the non-custodial wallet provider is governed by the relevant terms of service of that third party, distinct from this Terms of Service Agreement (the "Agreement"). This Agreement delineates the terms and conditions that define your access and usage of the Interface. Carefully review this Agreement. Your access or utilization of the Interface implies your acknowledgment, comprehension, and consent to be bound by the entire Agreement. If you disagree, refrain from accessing or utilizing the Interface.
Kindly take note: This Agreement governs your Interface usage. It contains significant details, including a binding arbitration provision and a class action waiver, which significantly affect dispute resolution. Access to the Interface is solely available, and you should solely engage with the Interface if you fully agree with these terms.
Modification of this Agreement
We maintain the exclusive right to modify this Agreement at our discretion. In the event of any modifications, you will be informed by updating the date at the top of the Agreement and maintaining an updated version of the Agreement at GOA's terms of services. All modifications become effective upon posting, and your continued access or usage of the Interface indicates your acceptance of these modifications. Disagreement with any modifications to this Agreement necessitates immediate cessation of Interface access and usage.
Eligibility
To access or utilize the Interface, you must have the capacity to enter a legally binding contract with us. Consequently, you assert that you have reached the age of majority in your jurisdiction (e.g., 18 years old in the United States) and possess the complete rights, authority, and power to agree to and comply with the terms and conditions of this Agreement, both on your behalf and on behalf of any company or legal entity for which you may access or use the Interface.
Additionally, you declare that you are neither (a) subject to economic or trade sanctions administered or enforced by any governmental authority nor included on any list of prohibited or restricted parties (including, but not limited to, the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury), nor (b) a citizen, resident, or organized in a jurisdiction or territory subjected to comprehensive country-wide, territory-wide, or regional economic sanctions by the United States. Lastly, you confirm that your Interface access and usage will fully conform to all applicable laws and regulations, and that you will refrain from using the Interface for, facilitating, or promoting any illegal activities.
Proprietary Rights
We retain complete ownership of all intellectual property and other rights associated with the Interface and its contents, encompassing (but not limited to) software, text, images, trademarks, service marks, copyrights, patents, and designs. This intellectual property is available in accordance with our copyright licenses and our Trademark Guidelines.
Additional Rights
We reserve several rights, not constituting obligations on our part: (a) with or without prior notice to you, the right to modify, substitute, eliminate, or add to the Interface; (b) the right to review, modify, filter, disable, delete, and remove any and all content and information from the Interface; and (c) the right to collaborate with any law enforcement, court, government investigation, order, or third party request directing the disclosure of information or content provided by you.
Privacy
When utilizing the Interface, the sole information collected from you includes your blockchain wallet address, completed transaction hashes, and token names and symbols. No personal information (e.g., your name or any identifiable identifiers) is collected. However, third-party service providers that may receive or independently obtain your personal information from publicly available sources are utilized. We lack control over how these third parties handle your data, thus review their privacy policies to understand the collection, usage, and sharing of your personal information. By accessing and using the Interface, you comprehend and consent to our data practices and our service providers' treatment of your information.
The collected information is employed to identify, prevent, and mitigate financial crime and other illicit or detrimental activities on the Interface. For these purposes, the information collected may be shared with blockchain analytics providers, solely to aid in upholding the safety, security, and integrity of the Interface.
Please take note that Interface use involves interaction with Base or another public blockchain, which inherently offers transparency into your transactions. Toshi does not control and is not liable for any information made public on blockchains through actions undertaken via the Interface.
Prohibited Activities
You agree not to engage, or attempt to engage, in any of
the following categories of prohibited activities concerning your Interface access and usage:
Intellectual Property Infringement
Cyberattacks
Fraud and Misrepresentation
Market Manipulation
Securities and Derivatives Violations
Any Other Unlawful Conduct
Not Registered with the SEC or Any Other Agency
We are not registered with the U.S. Securities and Exchange Commission as a national
securities exchange or in any other capacity.
Non-Solicitation; No Investment Advice
All trades submitted through the Interface are deemed unsolicited, initiated solely by you. No investment advice has been provided by us in connection with any trades.
Non-Custodial and No Fiduciary Duties
The Interface is purely non-custodial, implying that you are solely responsible for the custody of cryptographic private keys to the digital asset wallets held. This Agreement does not create or impose any fiduciary duties on us. We explicitly disclaim and waive any such duties or liabilities to you or any other party. The sole duties and obligations owed to you are those expressly outlined in this Agreement.
Compliance and Tax Obligations
The Interface may not be available or suitable for use in your jurisdiction. By accessing or utilizing the Interface, you accept complete responsibility for compliance with all applicable laws and regulations that may be relevant to you. Specifically, your Interface or Protocol usage may result in diverse tax implications, including income or capital gains tax, value- added tax, goods and services tax, or sales tax in specific jurisdictions. It is your responsibility to ascertain the applicability of taxes to any transactions initiated or received, and if applicable, to report and/or remit the correct tax to the pertinent tax authority.
Assumption of Risk
By accessing and using the Interface, you affirm that you possess adequate financial and technical acumen to comprehend the inherent risks associated with cryptographic and blockchain-based systems, possessing a comprehensive understanding of the usage and intricacies of digital assets like ETH, ether (ETH), stablecoins, and other digital tokens adhering to the Binance Smart Chain (BEP-20).
You acknowledge the nascent and highly volatile nature of markets for these digital assets, influenced by risk factors such as adoption, speculation, technology, security, and regulation. You understand that anyone can create tokens, including fake versions or those falsely representing existing projects, and acknowledge the risk of inadvertently trading these or other tokens. So-called stablecoins may lack the stability they purport to possess, may not be adequately collateralized, and may be susceptible to panics and runs.
Additionally, you recognize that smart contract transactions are automatically executed and settled, and that blockchain-based transactions are irreversible upon confirmation. You accept the variable cost and speed associated with transacting through cryptographic and blockchain-based systems like Binance Smart Chain, which may escalate significantly at any time. Moreover, you acknowledge and accept the risk inherent in choosing to trade in Expert Modes, potentially exposing you to considerable price slippage and increased costs.
In essence, you acknowledge that we bear no responsibility for these variables or risks, do not own or control the Protocol, and cannot be held accountable for any ensuing losses incurred while accessing or using the Interface. Consequently, you assume complete responsibility for all risks associated with accessing and using the Interface to interact with the Protocol.
